You hereby agree to indemnify, defend, and hold harmless Shaikhoology, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of the platform and any violation of these terms
• Your violation of any third-party rights, including copyright, property, or privacy rights
• Any claim that your use of the platform caused damage to a third party
• Your trading activities, investment decisions, or financial losses
• Any breach of applicable laws, regulations, or SEBI guidelines

⚖️ LEGAL PROTECTION SHIELD

This indemnification obligation will survive termination of these terms and your use of the platform. You agree that any legal action against Shaikhoology must be brought within one (1) year of the claim arising, and you waive any statute of limitations defense to the contrary.

🤝 MANDATORY ARBITRATION

🏛️ EXCLUSIVE JURISDICTION

Subject to the arbitration clause above, the courts of Mumbai, Maharashtra, India shall have exclusive jurisdiction over any legal proceedings not subject to arbitration. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue or forum non conveniens.

⚠️ DATA BREACH LIABILITY LIMITATION

NOTWITHSTANDING ANYTHING TO THE CONTRARY, SHAIKHOOLOGY'S TOTAL LIABILITY FOR ANY DATA BREACH OR SECURITY INCIDENT SHALL NOT EXCEED ₹1,000 (ONE THOUSAND RUPEES) PER AFFECTED USER, REGARDLESS OF THE ACTUAL DAMAGES INCURRED.

• No Uptime Guarantee: We strive for service availability but provide no uptime guarantees
• Scheduled Maintenance: Maintenance windows may temporarily affect availability without notice
• Technical Issues: Unforeseen technical problems may cause service interruptions
• Third-Party Dependencies: Service may be affected by third-party system failures
• Geographic Limitations: Service availability may vary by geographic location

⚠️ PERFORMANCE LIABILITY LIMITATION

IN NO EVENT SHALL SHAIKHOOLOGY BE LIABLE FOR ANY LOSS OF BUSINESS, LOST PROFITS, OR OTHER CONSEQUENTIAL DAMAGES RESULTING FROM PLATFORM DOWNTIME, SLOW PERFORMANCE, OR TECHNICAL ISSUES, EVEN IF SHAIKHOOLOGY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

• Pandemic, epidemic, or public health emergencies
• Changes in laws, regulations, or regulatory actions
• Market volatility, trading halts, or financial system disruptions
